Terms of Service

1. Introduction

Welcome to frontdesksolutions.org (the "Site"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Quantum Release Ltd. Co., doing business as Front Desk Solutions ("Front Desk Solutions," "Company," "we," "us," or "our").

These Terms govern your access to and use of the Site and all services provided by Front Desk Solutions, including AI-powered database reactivation, speed-to-lead automation, out-of-hours lead capture, AI voice systems, automated follow-up workflows, and related operational systems (collectively, the "Services").

By accessing the Site, booking a call, engaging our Services, or executing a service agreement, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.


2. Eligibility and Business Use

Our Services are offered exclusively to business owners, operators, and authorized representatives ("Clients"). By engaging our Services, you represent that:

You are 18 years of age or older

You have the legal authority to enter into agreements on behalf of your business

Your use of our Services complies with all applicable laws and regulations

You have obtained all necessary consents from your customers to enable our AI systems to contact them on your behalf


3. Description of Services

Front Desk Solutions provides AI-powered automation systems, which may include:

Database Reactivation: AI-driven SMS outreach to dormant leads in Client-provided databases

Speed-to-Lead Automation: Automated response systems that contact new inquiries within seconds of submission

Out-of-Hours AI: Lead qualification and appointment booking systems that operate outside of business hours

Google Reviews Automation: Automated response systems for Google review management

Abandoned Cart Recovery: AI-powered SMS sequences targeting incomplete purchase events

AI Voice Receptionists: Automated inbound call handling and appointment capture systems

The specific services delivered to each Client are defined in the applicable service agreement or proposal.


4. Client Responsibilities and Compliance

As a Client, you are solely responsible for:

A. Data and Consent

Ensuring you have lawful authority and, where required, prior express written consent from all contacts in any database you provide to us for outreach purposes

Compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all other applicable federal, state, and local laws governing marketing communications

Compliance with A2P 10DLC registration requirements and carrier guidelines where applicable

Notifying Front Desk Solutions of any opt-out requests you receive independently


B. Accuracy of Information

Ensuring that all data, contacts, and information provided to Front Desk Solutions is accurate, current, and lawfully obtained

Promptly updating or correcting any information that becomes inaccurate


C. Industry Compliance

Ensuring that your use of our Services complies with industry-specific regulations applicable to your business (e.g., healthcare, financial services, legal)


Front Desk Solutions is not responsible for Client's failure to obtain required consents or comply with applicable law. Client agrees to indemnify and hold harmless Front Desk Solutions for any claims arising from Client's non-compliance.


5. Fees, Payment, and Billing

Service fees are defined in the applicable proposal or service agreement. Unless otherwise agreed in writing:

Retainer fees are due at the start of each billing period

Setup fees, if applicable, are due prior to onboarding

All fees are non-refundable except as expressly stated in your service agreement

Late payments may result in service suspension

We reserve the right to adjust pricing with reasonable advance notice. Continued use of Services after a price change constitutes acceptance of the updated fees.


6. Term and Termination

The term of service begins on the date of your executed agreement or first payment and continues as specified therein. Either party may terminate the agreement in accordance with its terms.

Front Desk Solutions reserves the right to suspend or terminate Services immediately and without notice if:

Client violates these Terms or any applicable law

Client engages in conduct that exposes Front Desk Solutions to legal liability

Client's account is significantly past due

Upon termination, all licenses granted herein terminate. Sections covering liability, indemnification, and dispute resolution survive termination.


7. AI Systems, Results, and Disclaimers

A. No Guaranteed Outcomes

Front Desk Solutions provides automation infrastructure and AI-powered systems. While our systems are designed to improve lead response rates, appointment volume, and revenue recovery, we make no guarantee of specific results. Outcomes depend on factors including, but not limited to:

Quality and size of the Client's contact database

Industry, market conditions, and competitive landscape

Client's offer, pricing, and business reputation

Accuracy and recency of data provided


B. AI Limitations

Our AI systems are designed to replicate natural, conversational communication. However, AI systems may occasionally produce unexpected outputs. Front Desk Solutions monitors system performance and will address material issues promptly upon notification.


C. Client Review

Clients are encouraged to review AI-generated communications during onboarding to ensure they align with brand voice and compliance requirements before campaigns are launched at scale.


8. Intellectual Property

All systems, workflows, automation templates, playbooks, AI prompts, and proprietary methodologies developed by Front Desk Solutions remain the exclusive property of Quantum Release Ltd. Co. No license to our intellectual property is granted except as necessary to receive the Services.

Clients retain ownership of their own customer data, CRM contacts, and business information provided to us.


9. Confidentiality

Each party agrees to keep confidential any non-public, proprietary, or sensitive information received from the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Front Desk Solutions will not disclose Client data to third parties except as necessary to deliver the Services or as required by law.


10. SMS and AI Communication Terms

Where Front Desk Solutions sends SMS messages on behalf of Clients, the following applies:

All outreach is conducted on behalf of the Client, who bears primary responsibility for consent compliance

Opt-out requests (STOP) are honored immediately and permanently within each campaign

Message frequency varies by campaign configuration

Message and data rates may apply to recipients based on their carrier plan

Consent is never a condition of purchase for the end recipient

We do not sell or share mobile numbers or SMS opt-in data with third parties for marketing purposes


11. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRONT DESK SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SPECIFIC RESULTS WILL BE ACHIEVED.


12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FRONT DESK SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA.

OUR TOTAL CUMULATIVE LIABILITY TO ANY CLIENT FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY THAT CLIENT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


13. Indemnification

Client agrees to indemnify, defend, and hold harmless Front Desk Solutions, its owners, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Client's breach of these Terms

Client's failure to obtain required consents from their contacts

Client's violation of applicable law, including TCPA, CAN-SPAM, or A2P regulations

Any content, data, or instructions provided by Client to Front Desk Solutions


14. Governing Law

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in New Mexico.


15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall occur in New Mexico or via remote proceedings

Class actions and collective proceedings are not permitted

Each party waives the right to a jury trial for disputes covered by this section

If any portion of this section is found unenforceable, the remainder shall remain in full effect.


16. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. Changes become effective upon posting to the Site. We will update the effective date at the top of this document. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

For active Clients, material changes to terms governing your service agreement will be communicated directly.


17. Force Majeure

Front Desk Solutions is not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, platform or carrier outages, changes in telecommunications regulations, or third-party service failures.


18. Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreement, constitute the entire agreement between you and Front Desk Solutions with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.
